Parker Artists Guild By-Laws

ARTICLE I – Name

The name of this organization shall be PARKER ARTISTS GUILD.

ARTICLE II – Objectives

The objectives of the organization are to promote a better understand and appreciation of art and artists in the community, to offer members programs at regular meetings, demonstrations, workshops, and provide the opportunity to exhibit their work.

ARTICLE III – Membership and Dues

Any person interested in the objectives of the Guild may become a member by payment of annual dues and signing the membership application and waiver.

Section one.

New member’s dues are for the remainder of the calendar year and are not prorated.

Section two.

Renewal dues are payable each year on January 31st for the coming year.

ARTICLE IV – Executive Board and Its Election

Section one.

The Executive Board of the Guild shall consist of the elected President, Vice President, Secretary, Treasurer, and three elected Members at Large.

Section two.

Officers shall be elected by the General Membership at the Annual Meeting in October. Elected Officers will serve for one or two years, depending on the office, or until their successors are elected. The newly elected Officers shall assume duties at the beginning of the new year.

Section three.

No member shall hold more than one office at a time and no member shall be eligible to serve more than two consecutive terms in the same office.

ARTICLE V – Duties of the Officers

(With voting privileges for policies and decisions)

Section one.

The President (1 year term, having served the previous year as Vice President) shall preside at all meetings and oversee all Guild activities. The President along with the Executive Board shall appoint Chairmen of Standing Committees. Special Committee chairmen may be appointed by the President for special purposes or projects. The President casts the deciding vote on organization decisions, in case of a tie, at either the General Membership or Executive Board meetings. The President shall serve as liaison to the Community.

Section two.

The Vice-President (1 year term, followed by 1 year term as President) Shall be the assistant to the President. The Vice-President shall assume the duties of the President in the President’s absence. In the event the President is unable to continue the term of office, the Vice-President shall assume the Office of President. The Executive Board shall appoint a new Vice-President.

Section three.

The Secretary (1 year term) shall be responsible for keeping written records of meetings of the Executive Board and General Membership meetings. The Secretary conducts necessary correspondence on behalf of the Guild.

Section four.

The Treasurer (2 year term) shall collect, deposit and disburse the funds of the Guild as directed by the Executive Board and file all necessary reports. The Treasurer shall keep an account of all receipts and disbursements, shall submit to the Executive Board a written report of the financial condition of the Guild whenever the Board requires it, and shall make a complete financial statement at the January Meeting.

Section five.

3 Members at Large (1 year term), shall have duties as needed.

ARTICLE VI – Meetings

Section one.

Meetings of the Executive Board shall be called by the President, or by any three Board members. A quorum of 5 or more Board members is needed to make decisions or policy changes.

Section two.

Regular meeting of the Guild shall be held on the 3rd Wednesday of the month from September through June, unless other wide ordered by the Board.

Section three.

The regular meeting on the 3rd Wednesday of October shall be known as the Annual Meeting and shall be held for the purpose of electing Officers, receiving reports from Officers and Committees, and for other business which might arise.

Section four.

Twenty percent of the Guild’s current membership shall constitute a quorum for any business meeting. A quorum must be present to conduct business.

Section five.

All business requires a two-thirds majority vote of those present for approval.

ARTICLE VII - Standing Committees

Section one.

Standing Committees shall be permanent committees.

Section two.

Chairmen of Standing Committees shall be appointed by the Executive Board.

Section three.

Standing Committees shall be:

Program — arranges programs for meetings.

Membership — maintains an accurate directory of the membership and may collect dues in conjunction with the treasurer.

Social — provides for refreshments at general membership meetings, assists with planning social functions of the Guild.

Workshops — Periodically organizes and sets up various workshops.

Historian — Keeps a Scrapbook of Guild events.

Communication/ I.T. — writes newsletter and maintains website.

ARTICLE VIII – Elections

Section one.

Officer nominations will be accepted beginning at the September general meeting and continuing through the 3rd Wednesday of October.

Section two.

Officers will be voted on in the October Annual Meeting.

ARTICLE IX – Amendments

These by-laws may be amended at any regular meeting of the Guild by a two-thirds majority vote of the members present and voting, provided that notice of the proposed amendment has been given at least seven days in advance.
